1. Agreement to Terms
By accessing this website, placing a purchase order, requesting price quotes, or engaging in scrap import/trading transactions with Adarsh Metals, you acknowledge that you have read, understood, and agreed to be legally bound by these Terms and Conditions.
2. Quotations, Pricing & Metal Market Fluctuations
Due to volatility in global base metal commodity markets (LME and MCX indices):
- All price quotations for brass scrap, copper scrap, and metal components are subject to market validity timeframes stated on the respective proforma invoice or quote sheet.
- Confirmed orders shall be locked at the agreed price upon formal order confirmation and receipt of the agreed commercial advance.
- Taxes, GST, customs duties, port handling, and inland freight charges are billed in accordance with prevailing statutory rates at the time of dispatch.
3. Commercial Terms of Payment
Unless otherwise mutually agreed in writing under a formal commercial contract:
- Standard Payment Terms: 40% advance payment upon order placement/booking, with the remaining balance due upon receipt, container discharge, or before dispatch.
- Export / International Trade: Irrevocable Letter of Credit (LC at sight) or confirmed Wire Transfer (TT/CAD) as agreed per contract.
- Title to all goods remains with Adarsh Metals until full payment has been received and cleared in our bank account.
4. Scrap Material Grading & Chemical Tolerances
All secondary non-ferrous brass and copper scrap lots are sold according to ISRI (Institute of Scrap Recycling Industries) standards. Chemical assay ranges (Cu, Zn, Pb, Sn) represent representative laboratory optical emission spectrometer samples. Natural variations inherent in secondary recycled metals within permissible commercial tolerances are accepted in standard trade practice.
5. Delivery, Weighbridge & Inspection Protocols
To ensure complete transparency in dispatch and receipt:
- Weight Verification: All dispatches are measured on our calibrated digital electronic weighbridge. Computerized weighbridge slips form the primary basis for invoiced net weight.
- Receiving Claims: Any discrepancies regarding weight, material grade, or shipping damage must be notified in writing within 48 hours of container/truck delivery at the destination foundry or warehouse.
- Deliveries delayed due to port congestion, shipping line delays, customs inspections, or road freight interruptions beyond our operational control are governed under standard Force Majeure principles.
6. Limitation of Liability & Force Majeure
Adarsh Metals shall not be liable for any indirect, incidental, or consequential losses, downtime costs, or lost profits arising from trade interruptions, shipping transit delays, or natural base metal market swings. Neither party shall be held liable for failure or delay in performing obligations caused by events beyond reasonable control, including acts of God, governmental import/export embargoes, port strikes, or natural disasters.
7. Governing Law & Jurisdiction
These Terms and Conditions and any commercial contracts entered into with Adarsh Metals shall be governed by and construed in accordance with the laws of India. Any disputes arising out of or in connection with business transactions shall be subject to the exclusive jurisdiction of the competent courts of Jamnagar, Gujarat, India.
